1. User Agreement

1.1 These Terms of Service constitute an agreement between you and kidOYO that governs your use of kidOYO.com and all of its "Services" provisioned by its associated platform domains, including OYOclass.com, OYOhub.com, OYOsite.com, OYOpages.com. Please read the Terms of Service carefully. By using kidOYO you affirm that you have read, understood, and accepted the terms and conditions in the Terms of Service. If you do not agree with any of these conditions, please do not use kidOYO.

1.2 Your privacy is important to us. Please read our  Privacy Policy, which identifies how kidOYO uses, collects, and stores information it collects through its Services. By using kidOYO, you additionally agree that you accept kidOYO's  Privacy Policy.

1.3 kidOYO’s primary business purpose is open to children and adults of all ages, and you should keep this in mind when using our services. kidOYO services a 501(c)(3) non-profit public benefit mission aimed at increasing literacy in the use of technology to produce creative entrepreneurial outcomes. All kidOYO mentors have been trained, certified and background checks have been performed to ensure the greatest degree of security possible for the children and families serviced by kidOYO.

1.4 kidOYO is a registered trademark, and operates as a D/B/A of the 501(c)(3) non-profit organization NoizIvy.org (EIN: 52-2330471). All correspondence to kidOYO/NoizIvy.org may be sent to our offices located at 95 Broadhollow Road, Melville, NY 11747.

1.5 kidOYO may update these Terms of Service from time to time. You can always find the latest version of the Terms of Service at  https://kidoyo.com/term. The date of the most recent revisions will appear on this page. Your continued use of the Services constitutes your acceptance of any changes to or revisions of the Terms of Service.


2. Account Creation and Maintenance

2.1 In order to use some features provided by kidOYO, you will need to register and create an account with kidOYO using its software hosted at OYOclass.com. All accounts purchased via kidOYO.com/join will include a parent account, as well as a student account. All purchases are final. No refunds for partial use of learning resources are permitted. Your purchase of services from kidOYO, offered under it's 501(c)(3) non-profit public benefit mission, are non-transferrable. When registering these accounts, you will be asked to provide certain personal information, such as your email address, for contextual access to personal services. Creative learning data, such as personal project work created by student accounts, is accessible for download by parent accounts, and in some cases may be edited by parents in helping students display their project learning outcomes in a productive format. Please see kidOYO's  Privacy Policy for kidOYO's data retention and usage policies. IN ALL CASES, kidOYO seeks to provide students will full agency and control over their personal data, and for parents to have control of removing their child’s creative work from the kidOYO learning platform under their own control. “OYO” means “own your own”, and this fundamentally refers to the data created by students during their learning experience at kidOYO.

2.2 You are responsible for keeping your password secret and your account secure. You are solely responsible for any use of your account, even if your account is used by another person. If any use of your account violates the Terms of Service, your account may be suspended or deleted. If you believe your account has been compromised, you may contact us at .

2.3 You may not use another person's kidOYO account without evidence of permission. Doing so may result in your account being deleted, and/or kidOYO pursuing legal recourse against you for breach of these Terms of Service. kidOYO’s primary responsibility is to the protection of students, their data, and their personal opportunity to learn with kidOYO.

2.4 If you have reason to believe that your account is no longer secure (for example, in the event of a loss, theft, or unauthorized disclosure of your password), promptly change your password. If you cannot access your account to change your password, notify us at  .


3. Rules of Usage

3.1 kidOYO supports freedom of expression. However, kidOYO is intended for a wide audience, and some content is inappropriate for kidOYO. You may not use kidOYO service in any way, that:

  1. Promotes bigotry, discrimination, hatred, or violence against any individual or group;
  2. Threatens, harasses, or intimidates any other person, whether that person is a kidOYO member or not;
  3. Contains foul language or personal attacks;
  4. Contains sexually explicit or graphically violent material;
  5. Provides instructions on how to commit illegal activities or obtain illegal products;
  6. Asks any other user for personally identifying information, contact information, or passwords; or exposes any other person's personally identifying information, contact information, or passwords without that person's permission.

3.2 Any breach of these Rules of Usage may result in limitations being placed on offending accounts. If repeat offenses occur, kidOYO maintains the right to suspend your account, terminate your account, delete your account, and block you from registering for an account using any kidOYO service.

3.3 You agree to comply with all applicable laws and regulations when you use kidOYO. You may not use kidOYO in any unlawful way, including to harass, stalk, or defame any other person.

3.4 You may not impersonate, imitate or pretend to be somebody else for the purposes of defrauding others identity when using kidOYO Services.

3.5 You agree not to post links or data to any protected content, where doing so would violate any part of the Terms of Service, offend someone’s copyright, or break the law. If you see this happen, you agree to inform kidOYO to the best of your ability, for the protection of the entire kidOYO learning community and platform.


4. Payment Processing

4.1 Payment processing services for customers of kidOYO are provided by Stripe and are subject to the  Stripe Connected Account Agreement , which includes the  Stripe Terms of Service   (collectively, the “Stripe Services Agreement”). By agreeing to the kidOYO.com Terms of Service, or continuing to operate as an account holder on kidOYO’s platform at OYOclass.com, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of kidOYO.com/OYOclass.com enabling payment processing services through Stripe, you agree to provide kidOYO.com/OYOclass.com with accurate and complete information about you, and you authorize kidOYO.com/OYOclass.com to share this transaction information related to your use of the payment processing services provided by Stripe for the legal integrity of all transactions.

4.2 kidOYO will not store any credit card data on its servers. All payment processing services used by kidOYO are provided by Stripe, and governed by its service agreements detailed in section 4.1 of this Terms of Service agreement.

4.3 Purchase receipts are displayed by kidOYO.com/OYOclass.com for all purchase transactions initiated on the kidOYO Store (www.kidoyo.com/shop), or by joining any of its learning communities (www.kidoyo.com/join). Purchase receipts are also emailed to the registered email address of account owners, or to the customer making a purchase with a registered email address. All learning community receipts are accessible by parent accounts only at www.oyoclass.com/settings/payment . On this page, parent account owners will see billing address data, last 4 digits of credit card, and link to view original receipt generated by purchase and sent via email. This data is not saved on kidOYO.com/OYOclass.com servers, but is provided by calling the Stripe API for the benefit and convenience of account owners only.

4.4 The kidOYO Store allows customers to track their orders and monitor shipping status. In order to provide this service, kidOYO.com asks customers for their shipping address and email only, and stores only this data in our servers contextual to each order placed by a customer.

4.5 All kidOYO Store transactions provide COG “cost of goods” information on a per-product basis. This COG information is provided for purposes of tax administration. The kidOYO Store is a fundraising method aimed at empowering the 501(c)(3) non-profit tax exempt mission of kidOYO’s services. As such, purchases may qualify as tax deductible quid pro quo donations. Refer to your own legal counsel and tax professionals for accurate methods of claiming tax deductions. 4.6 All donations are final. No refunds will be issued for voluntary donations in order to prevent fraudulent activities. If your situation requires special consideration, reach out for personal communication.


5. Community Content Subscription

5.1 Access to all community functions and curriculum content is provisioned by kidOYO.com/OYOclass.com on a 1 year subscription basis from the date of the initial transaction to join a specific community domain. During this time, student account owners may access all content resources, interact with peers, and create their own project work without limitation. All content is copyrighted within kidOYO.com/OYOclass.com community domains, and should not be removed or shared with others without the express written permission of kidOYO and its associated owners, where others are included in such copyright claims.

5.2 Any learning outcomes created by a student after using kidOYO curriculum content to learn methods of creative skill development belongs to the student, and all copyright/copyleft claims made by student account owners are theirs to enforce as they choose. All student owned creative data may be downloaded, including website files, or other programming source files, and kidOYO will make available to student and parent accounts the ability to easily download such files, including packaging such files up into compressed formats where optimal.


6. Mentor Token™

6.1 kidOYO has established a process by which the work and contributions of volunteer mentors may be valued in order to encourage continued engagement with students. The Mentor Token™ is a utility allowing the interactions between students and mentors to be valued by kidOYO. When initially joining a kidOYO learning community utilizing Mentor Tokens™, the cost of Mentor Tokens™ is collected by kidOYO and all monetary value belongs exclusively to kidOYO.

6.2 All submissions of student work to mentors include a Mentor Token™ value in the submission. This allows the student to see the value of their work in giving mentors an opportunity to help provide learning feedback. All student submissions are timestamped. When a mentor provides feedback to a student, this feedback is also timestamped. This bi-directional proof of work is utilized by kidOYO in assigning value via Mentor Tokens™ to the contributions of mentors.

6.3 kidOYO will provide a token transaction history in the format of a ledger to students, so they can participate in the utility of using Mentor Tokens™ in their personal learning pathways. At no time do these Mentor Token™ values represent monies possessed by student accounts. All monetary value associated with Mentor Tokens™ is the exclusive property of kidOYO, and its use by students is for educational purposes only.

6.4 All Mentor Token purchases and recharges are final. No refunds will be issued for partial use. Mentor Token purchases and recharges are non-transferrable.

6.5 All Mentor Token Purchases Represent Donations In Support Of Public-Benefit Mission Of Our 501(c)(3) Organization (EIN: 52-2330471). (Such donations qualify as tax-deductible expenditures, and consultation with tax professionals is suggested for personal tax filing purposes.


7. Events / Tickets

7.1 kidOYO processes event:ticket registrations using multiple methods based on the type of program being offered; in some cases, event:tickets carry no cost (free ticket) and are registered by members of kidOYO communities with existing OYOclass.com accounts, students and mentors; in other cases, event:tickets carry Mentor Token values and are registered by students choosing to interact with mentors within the event:ticket purpose taking place at a specific time to cover specific topics explained in the event:ticket registration form; at other times, event:tickets are registered by parents on behalf of students using Stripe payment processing to manage credit card transactions; and, from time to time kidOYO will provide adults (18+) the opportunity to directly register event:tickets using Stripe credit processing, or via Mentor Tokens acquired with Stripe payment processing services.

7.2 Event:Tickets may be cancelled by students when registered at no cost (FREE) or accessed using Mentor Tokens up to the start of the event, and may be requested by parents for processing when using Stripe credit processing services, minus any processing fees, non-refundable portion of ticket price, or already used account assets such as Mentor Tokens prior to start of event.

7.3 Joining kidOYO live events using ticket registration as a member of a kidOYO community, or as an account owner within kidOYO communities, whether student or mentor, is always an optional activity. The "Community Content Subscription" (Item 5, kidOYO ToS) provides access to many different learning resources and tools. Individuals choose to utilize different tools at different times to accomplish different creative computational outcomes. Live events providing access to kidOYO Mentors instructing or leading discussion covering information related to programming computers, prototype engineering of electronics, designing software or hardware concepts, entrepreneurial creativity, or competitive use of skills in social activities is typical at kidOYO. As leaders of student-driven learning, our efforts to teach follow the interests of students to engage what we can share as skilled mentors. At all times, the kidOYO/OYOclass.com platform and service model provides students with choices to engage the root learning opportunities and building of skills content and tools they need, under their own terms of engagement. No participation in live events is required by registering for a kidOYO account.


8. Limitation of Liability

kidOYO shall not be liable to you or any third parties for any direct, indirect, special, consequential or punitive damages of any kind, regardless of the type of claim or the nature of the cause of action, even if kidOYO has been advised of the possibility of such damages.


9. No Waiver

No waiver of any parts of these Terms of Service shall be deemed a furtherance or continuing waiver of such term or any other term, and kidOYO's failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.


10. Notice Regarding Apple

10.1 You acknowledge these Terms exit between you and kidOYO only, not with Apple, and Apple is not responsible for the Services and related content. Apple has no obligation whatsoever to furnish any maintenance and support services for the Services. If any failure of the Services should occur preventing them to conform to any applicable warranty, you may notify Apple and Apple will refund purchase price for the application to you, if any; and, to maximum extent permitted by applicable law, Apple has no warranty obligation whatsoever for the Services. Apple is not responsible for addressing any claims by you or any third party relating to the Services or your possession and/or use of the Services, including, but not limited to: (i) product liability claims; (ii) any claim that the Services fail to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection legislation. Apple is not responsible for any investigation, defense, settlement or discharge of any third-party claim that the Services or your possession and use of the Services infringes that third party's intellectual property rights. Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and upon your acceptance of the Terms, Apple shall have the right (and will be deemed to have accepted the right) to enforce the Terms against you as a third party beneficiary of these Terms. You hereby represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

10.2 kidOYO Mini app (iOS), including EDU version (iOS), is a unique application made available via Apple distribution methods only. No data-sharing is enabled between the iOS application made available by Apple, and any similar applications made available to schools via OYOclass.com.


11. Entire Agreement

This document constitutes the entire Terms of Service and supersedes all previous agreements with kidOYO relating to the use of kidOYO.com and associated domains or service. All disputes shall be handled within the legal jurisdiction of the State of New York, USA.
